1. Introduction
These Terms of Service govern the professional advisory relationship between Ivica Srncevic, operating under SRNA SEO (www.srnaseo.com), and any individual or organization (the “Client”) engaging advisory services. By proceeding with an engagement, the Client confirms acceptance of these terms in full.
Where a separate written client agreement exists, that agreement takes precedence over these Terms of Service in all matters where the two conflict.
2. Services
Ivica Srncevic provides enterprise SEO advisory services including but not limited to structural SEO diagnostics, AI search readiness assessments, search architecture design, international SEO governance, and semantic authority modeling.
The specific scope, deliverables, timeline, and format of each engagement are defined during the initial scoping process and confirmed in writing prior to commencement. No advisory work begins without written confirmation of scope from both parties.
3. Engagement Process
All engagements begin with an initial conversation to assess fit, scope, and objectives. Following this, a written proposal or engagement summary is issued outlining the scope of work, timeline, and fees. Work commences only upon written acceptance of the proposal and receipt of any required upfront payment.
4. Fees and Payment
Fees are agreed in writing prior to the start of each engagement. Unless otherwise stated in the proposal:
– Invoices are due within 14 days of the invoice date
– Upfront payment or a deposit may be required before work begins
– Ongoing retainer engagements are billed in advance on a monthly basis
– Late payments may result in suspension of work until the outstanding balance is settled
All fees are exclusive of any applicable taxes, which remain the responsibility of the Client.
5. Intellectual Property
All frameworks, methodologies, diagnostic approaches, strategic models, and original content created or shared by Ivica Srncevic during an engagement remain the intellectual property of Ivica Srncevic unless explicitly transferred in writing.
Deliverables produced specifically for the Client – such as reports, audits, and recommendations – are licensed to the Client for internal use only. They may not be resold, redistributed, or shared with third parties without prior written permission.
Pre-existing tools, templates, and frameworks used during an engagement remain the sole property of Ivica Srncevic at all times.
6. Confidentiality
Both parties agree to treat as confidential any proprietary, sensitive, or non-public information shared during the course of an engagement. This obligation continues for a period of two years following the conclusion of the engagement.
Ivica Srncevic will not disclose Client data, strategies, or business information to third parties without written consent, except where required by law.
Clients are similarly expected to treat any proprietary frameworks, methodologies, or strategic approaches shared during the engagement as confidential.
7. Client Responsibilities
The Client agrees to:
– Provide accurate, complete, and timely information necessary for the engagement
– Grant access to required tools, platforms, and data as agreed
– Designate a primary point of contact with sufficient authority to make decisions
– Review and provide feedback on deliverables within agreed timeframes
Delays caused by the Client’s failure to meet these responsibilities may affect timelines and do not constitute a breach on the part of Ivica Srncevic.
8. Revisions and Scope Changes
The agreed scope of work is defined at the outset of each engagement. Requests for work outside the agreed scope will be assessed separately and may require a revised proposal and additional fees. Ivica Srncevic will always communicate scope changes clearly before proceeding.
9. Cancellation and Termination
Either party may terminate an engagement with 14 days written notice. In the event of termination:
– Work completed up to the termination date will be invoiced and is payable in full
– Any upfront or deposit payments are non-refundable unless otherwise agreed in writing
– Deliverables for completed phases will be provided to the Client upon settlement of outstanding invoices
Ivica Srncevic reserves the right to terminate an engagement immediately in cases of non-payment, misrepresentation, or conduct that makes continuation unreasonable.
10. No Guarantee of Results
Advisory services are provided based on professional expertise, structural analysis, and strategic judgment. While every effort is made to deliver work of the highest standard, no guarantee is made regarding specific search rankings, traffic outcomes, or business results. Search visibility is influenced by factors outside any advisor’s direct control, including algorithm changes, competitor actions, and technical decisions made independently by the Client.
11. Limitation of Liability
To the fullest extent permitted by applicable law, the total liability of Ivica Srncevic in connection with any engagement shall not exceed the total fees paid by the Client for that specific engagement. Ivica Srncevic shall not be liable for any indirect, consequential, or incidental loss including loss of revenue, rankings, or business opportunity.
12. Independent Contractor
Ivica Srncevic operates as an independent contractor. Nothing in these Terms of Service creates an employment relationship, partnership, or joint venture between Ivica Srncevic and the Client.
13. Governing Law
These Terms of Service are governed by the laws of the Czech Republic. Any disputes arising from or related to these terms or any engagement shall be subject to the exclusive jurisdiction of the competent courts of Croatia.
14. Changes to These Terms
These Terms of Service may be updated periodically. The most recent version will always be published at www.srnaseo.com/terms-of-service. Engagements in progress at the time of any update continue to be governed by the version in effect at the time the engagement commenced.
